PROSPEROWARE LICENSE METRICS

The terms and license metrics listed below apply to Product you have licensed from Prosperoware, and contain additional terms, conditions and/or limitations that govern your use and/or provision of such Product, in addition to all of the terms of the applicable purchase or license agreement in which these terms are referenced. Any references to “Customer” below shall mean the applicable customer, buyer, or licensee specified in the License Agreement, Product Agreement, Order Form or other agreement that references this license metrics document.

1. User License Types. Product where the license metric is “User” means the named individuals authorized or assigned by Customer to use only the Product specified on the Order Form; users may include employees, Agents, clients, end customers or 3rd party developer of Customer and/or its Affiliates authorized to use the Product. The maximum number of Users authorized by type of User is listed on the Order Form. Customer may transfer the rights to a new User; so long as the prior User discontinues using the Product and said transfer does not expand the maximum number of Users paid for under the Agreement. A User license shall be required for each User authorized by Customer possessing a Base License to access (directly or indirectly) the Product.

1.1. Client Access License. A “Client Access License” permits one (1) User from Customer to directly access the applicable end user functionality of the Product.

1.2. Concurrent User. Product where the license metric is “Concurrent User” may use only the associated Product specified on the Order Form, concurrently at any time so long as the number of Concurrent Users for which Customer has paid the corresponding Fees is not exceeded. 

1.3. External Client Access License. An external client access license permits (1) User that is not a Customer employee or contractor to directly access the applicable end user functionality of the Product.

1.4. Internal Collaborator. Any employee or contractor of the Customer.

1.5. External Collaborator. Any person that is not a Customer employee or contractor.

2. Base License. A “Base License” means a license for a single Customer business entity listed on the Order Form to use the Software on an unlimited number of servers, and cores, and including use in disaster recovery, testing, and development environment(s) in a single physical data center. Each Base License permits Customer to house unlimited standby servers for disaster recovery purposes in another data center. The Base License does not include nor permit installation or use of the Software by Customer affiliates/subsidiaries. The Base License is licensed per Data Center, and requires one (1) license for each data center in which a copy of the Software is installed and used. Each Customer affiliate or subsidiary must purchase a separate Base License, regardless of whether the Customer affiliate has a sufficient number of licensed Users.
3. Base License Add-on. An Add-on License is required for additional features / functionality not included in the Base License. You must have a Base License in order to license an Add-on for that Base License associated with that platform.
4. Data Center License. Software licensed per “Data Center” means that one (1) license is required for each physical data center in which the Software is installed or used for production purposes. Customer may use the Software within a single physical data center on an unlimited number of servers, and coresm including for disaster recovery, testing, and development purposes.
5. Matter License. Product licensed per Matter means a license is required for each unique matter in the system.
6. Total Storage. Cloud Services licensed by total storage means Customer may store Customer Data in the Cloud Services environment up to the maximum number of GB specified in the order.
7. Data Usage Per Month. Cloud Services licensed by data usage per month reflects the maximum number of GB of data transferred to and from the Cloud Services environment.
8. Product Specific Rules. 

8.1 CAM File Transfer. Use of CAM in matter file transfer requires and is subject to the following: “CAM Metadata” means mapping information metadata generated through your use of CAM about mapping information, folder structure, profile fields (such as document class, application kind, practice group, etc.) and organization. CAM Metadata is not Confidential Information and contains no Customer Data or client matter or other information to identify Customer. When you transmit CAM Metadata, you hereby grant Prosperoware and its affiliates and other users of the product, a nonexlusive, royalty-free, perpetual, irrevocable and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform and display any such CAM Metadata including throughout the world in any media.

8.2 Cloud Migrator. A Cloud Migrator license enables data migration from one data source to another data source. The Cloud Migrator license is valid for one single migration project.

8.3 Milan Products. 

8.3.1. Milan Admin User License. This license is required for administrators who need to access the Milan web application. A minimum of two is required. 

8.4 Umbria Users – Applies to Umbria Versions 2.x and 3.x.

8.4.1. Umbria Timekeeper. This is a Client Access License. “Timekeeper” means any individual who tracks, budgets, invoices, analyzes their time (directly or indirectly) using the Umbria Software. The maximum number of Timekeepers authorized is listed on the Order Form. Customer may transfer the rights to a new Timekeeper; so long as the prior Timekeeper discontinues using the Software and said transfer does not expand the maximum number of Timekeepers paid for under the Agreement.

8.4.2. Umbria Administrative User. This is a Client Access License. The Umbria Adiministrative User has a departament level or firm-wide role creating or working with budgets, pricing, business development or project planning. The Umbria Administrative Users focuses on creating and modeling information in Umbria, as well as performing other system administration tasks, such as bulk updates, creating templates, etc.

8.4.3. Umbria Standard User. This is a Client Access License. The Umbria Standard User is typically a Partner or Associate in the firm. Standard users have all the capabilities of the Light User plus the ability to monitor matters to see how they compare with the established budgets and view reports on established matters. Standard Users may also create more sophisticated multi-phase budgets either with an amount or hours and recieve specific reports comparing their performance againts either a specific budget for a matter or an annual target.

8.4.4. Umbria Light User. This is a Client Access License. An Umbria Light User is typically an assistant or possibly a low-level fee earner in the firm. A Light User’s interaction with the Software is limited to filling out forms such as budgeting or experience, on behalf of other users. In filling out these forms, Light Users may create simple budgets based on questions on these forms. Light Users may be assigned tasks to perform in completing workflow activities. They also have the ability to search and access the basic experience data about a matter.

8.5 Umbria Users – Applies to Umbria 2019.

8.5.1. Umbria User. This is a Client Access. An Umbria User license is required for any user that will login to the Umbria web client.

8.5.3. Umbria Matter License. Software licensed per Matter means a license is required for each unique matter in the system. All Internal Collaborators have full rights to plan, alert, report and monitor licensed matters.

8.6 CAM Sandbox License. A Sandbox license is a copy of your organization in a separate environment which can be used for testing and training, but cannot be used for production. Sandboxes are isolated from your production organization, and operations you perform in your sandboxes do not affect your CAM production instance.

  • Cannot be used for connecting to production instances of iManage, NetDocuments, Office 365, HighQ, Kira, Clio, Google Suite, CPA or any other systems.
  • Each Sandbox instance is limited to a number of IT or Admin users as per the instance type licensed.
  • The Sandbox cannot be used to run a bulk update or job exceeding job limit specific in the license terms in a single and monthly job.
  • Data in the Sandbox are not automatically backed up nor subject to standard business continuity or Disaster Recovery plan.
  • No Stress, Penetration, Security or any kind of testing be performed on the sandbox that can result in large data, transactions, I/O or computing time. If a specific testing is required, please consult Prosperoware DevOps team. In some cases, Prosperoware may also need permission from Amazon Web Services LLC.
  • The Sandbox has limit on total storage and data transfer as per the license terms.
  • The Sandbox cannot be used to store or to test any PHI or PII or any kind of sensitive information.
  • Log information are truncated afer 7 days.
  • Sandbox instances are provisioned on month to month basis unless reserved or bought for a longer period. Once the term is expired, all data from the sandbox are deleted. After a gap, if a new instance of Sandbox is requested, a completely new instance will be provisioned. Data from the previous instance of a Sandbox cannot be restored.
  • Number of updates refers to the total number of objects (workspace, folders, users and groups can be updated per month).

8.7 CAM Additional Instance License. Additional instances are designed for customers who want to separate their data geographically or have multiple instances of CAM for performance, privacy or other reasons. These instances can be used for production or for testing. 

    • Requires the licensing of an initial instance – cannot be licensed stand-alone.
    • No Stress, Penetration, Security or any kind of testing be performed on the sandbox that can result in large data, transactions, I/O or computing time. If a specific testing is required, please consult Prosperoware DevOps team. In some cases, Prosperoware may also need permission from Amazon Web Services LLC.
    • Log Information is truncated after 7 days.
    • Additional instances must be licensed for the same duration as the main instance.
    • Number of updates refers to the total number of objects created or updated per month. Objects include workspace, folder, document, user and group.

8.8 Content System – A Third Party System that Prosperoware Product or Cloud Services connects to for read and write purposes. Typical examples include document management, collaboration systems and file shares.

8.9 Source System – A Third Party System that Prosperoware Product or Cloud Services connects to for read-only purposes. Typical examples include Practice Management, Time & Billing and HR Systems.
